OO; buyer opens; AGREEMENT
buyer owner instruction
You negotiate for Northfield Analytics, the Buyer: a company buying concert tickets for a staff outing. This brief is private: the other side cannot see it.
Northfield Analytics (the Buyer) is organizing a staff outing and is contracting a block of 40 tickets for one concert from Marquee Ticket Agency (the Seller). The two sides negotiate the contract terms in alternating turns. Each side represents its own organization.
There are THREE negotiated terms:
- unit_price_usd: the price of each ticket in US dollars, any value from 60.00 to 100.00 (two decimal places at most).
- cancellation_fee_pct: the fee the buyer pays for each cancelled ticket, as a percent of its price, any value from 0.00 to 100.00.
- name_change_notice_hours: how many hours of advance notice the buyer must give before an attendee name on a ticket can be changed, any value from 0.00 to 96.00 (a higher number means earlier notice is required).
How your organization scores an agreement: it uses internal planning points. They are a planning score only, not dollars, money or a real transaction. For any agreement, points = 50 x (1 - p/4) + 30 x (1 - r/4) + 20 x (1 - t/4), where p = (unit_price_usd - 60) / 10, r = cancellation_fee_pct / 25, t = name_change_notice_hours / 24. Higher points are better for your organization. If there is no agreement, your organization gets 20 points.
Rules:
- There are at most 12 turns, alternating between the two sides.
- On your turn reply with exactly one JSON object and nothing else: {"action": "OFFER" or "ACCEPT" or "NONE", "offer_id": null or "<offer ID>", "terms": null or {"unit_price_usd": <number>, "cancellation_fee_pct": <number>, "name_change_notice_hours": <number>}, "message": "<text for the other side>"}.
- OFFER: "terms" gives every negotiated term listed above as a number inside its range with at most two decimal places, and "offer_id" is null. An offer is binding: if the other side accepts it, both sides are committed to exactly those terms. A new offer replaces any earlier standing offer.
- ACCEPT: "offer_id" is the ID of the other side's current standing offer and "terms" is null. This creates a binding agreement on exactly that offer. You cannot accept your own offer.
- NONE: no offer and no acceptance this turn; "offer_id" and "terms" are null.
- Words in "message" never make, change or accept a deal; only the action does. "message" is at most 80 words and is shown to the other side.
- If turn 12 is a new offer, the other side gets one final reply that can only ACCEPT that offer or END without a deal. Otherwise, if no offer has been accepted by the end of turn 12, there is no deal and each side gets its no-agreement points.seller owner instruction

Hello from Northfield Analytics. We'd like to book a block of 40 tickets for our staff outing. Because it's a bulk group purchase, we propose $62 per ticket, a 5% cancellation fee, and 4 hours' notice for attendee name changes, since staff schedules shift. We're keen to close quickly and are open to hearing your priorities.

Thanks, Northfield. We'd be glad to host your team. A 40-ticket block requires us to reissue and verify attendee credentials with the venue, so advance notice for name changes matters a lot to us operationally. We propose $92/ticket, 60% cancellation fee, and 90 hours' notice for name changes. We can be flexible on price if we get firmer terms on notice. What matters most on your side?

Thanks, that helps. Price is our biggest concern for a group budget, so let's trade: we'll move a long way on notice, from 4 to 60 hours, to cover your credential reissue. In return we need a bulk-friendly price of $66 and a moderate 15% cancellation fee. We can make firmer notice work if the price reflects a 40-ticket block.

Thanks for moving on notice. We'll meet you on price: we drop from $92 to $70, close to your bulk target. In return, our venue credential cycle needs 84 hours' notice for name changes, and a 40% cancellation fee to cover held inventory. Price was your top concern, and this gives you a strong group rate.

Thanks for the move on price. Since notice matters most to you operationally, we'll give you your full original ask of 90 hours, more than your 84. In return, we need $66 per ticket and a 20% cancellation fee. A 40% fee is steep for a staff group whose attendance can shift. This gives you the credential lead time you need and keeps us within budget.

Thanks, we're close. We'll go to $68, just above your target, and meet you partway on the fee at 30%, well down from 40%. In return, a full 96 hours' notice gives our credential cycle a clean four-day window and lets us keep this rate. This is a strong bulk deal for your team, and we'd like to close it.

We're close. We'll give you the full 96 hours' notice, the maximum, so your credential cycle gets its clean four-day window. In return, we ask for $67 per ticket and a 22% cancellation fee. That fee still covers held inventory without penalizing a staff group whose attendance can shift. If this works for you, we're ready to sign.

Thank you for the full 96 hours. That is a real help. We'll come down again on the fee, from 30% to 26%, and hold the price at $68, just $1 above your ask. Together with the notice window, this keeps our held-inventory risk covered and gives your team a strong bulk rate. If this works, we're ready to sign now.

Thanks, we're nearly there. Let's split the remaining gap: $67.50 per ticket and a 24% cancellation fee, with the full 96 hours' notice you asked for. That meets you halfway on both price and fee, and we're ready to sign on these terms right away.
